1. Agreement
These Terms of Service ("Terms") govern your use of the website and services provided by Gulf Shield Technologies ("GST," "we," "our," or "us"), a Florida limited liability company located in Holiday, FL.
By using our website, requesting a quote, or engaging our services, you agree to these Terms. Managed service clients are additionally governed by a Master Service Agreement (MSA) and applicable Service Addenda, which control in the event of any conflict with these Terms.
2. Services
GST provides managed data protection, IT management, and application hosting services to small businesses and healthcare practices. Specific service terms, scope, and pricing are defined in the service agreement signed by each client. Contact us for current pricing and availability.
3. Client Obligations
As a client of GST, you agree to:
- Provide accurate information for billing and service delivery.
- Provide reasonable access and cooperation for service delivery.
- Notify GST of infrastructure changes that may affect services.
- Maintain a valid payment method on file.
- Comply with the Acceptable Use terms in Section 6.
4. Payment Terms
Services are prepaid monthly. Invoices are issued at the beginning of each billing period. Payment is due within 15 days. Late payments may incur fees as permitted by Florida law. Services may be suspended for non-payment and terminated after 60 days. Full payment terms are detailed in the client's service agreement.
5. Service Levels
GST provides uptime commitments, response time targets, and service credits as defined in the Service Level Agreement (SLA) provided to managed service clients. The SLA is incorporated by reference into each client's service agreement.
6. Acceptable Use
You may not use GST's services for:
- Any illegal activity or storage of illegal content.
- Distribution of malware, ransomware, or malicious software.
- Unsolicited bulk email in violation of applicable law.
- Network attacks or unauthorized access to other systems.
- Copyright infringement.
- Any activity that degrades service quality for other clients.
Violations are handled through graduated enforcement. Critical violations may result in immediate suspension without prior notice.
7. Data Ownership and Portability
Your data belongs to you. Upon termination of services, we provide a complete export of your data within 5 business days. Data is retained for 30 days after termination, then permanently deleted. Immediate deletion is available upon written request.
8. Disclaimer of Warranties
Services are provided on an "as is" and "as available" basis. GST does not warrant that services will be uninterrupted, error-free, or completely secure. Except as set forth in the SLA, GST disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.
9. Limitation of Liability
GST's total aggregate liability for any claims arising from services shall not exceed twelve (12) months of fees paid by the client under the applicable service agreement. Neither party shall be liable for consequential, incidental, indirect, special, or punitive damages, including lost profits or business interruption. Additional terms may apply under the client's service agreement.
10. Intellectual Property
All content on this website, including text, design, logos, and graphics, is the property of Gulf Shield Technologies or its licensors and is protected by applicable copyright and trademark laws. Client data remains the property of the client at all times.

12. Governing Law
These Terms are governed by the laws of the State of Florida. Any disputes arising from these Terms shall be resolved in the courts of Pasco County, Florida.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to active clients via email at least sixty (60) days before taking effect. Continued use of services after changes take effect constitutes acceptance.
